Terms of Service

These terms are a good-faith plain-English draft for our early-access phase and should be reviewed by a qualified solicitor before you rely on them. They govern the relationship between us and the business that subscribes; how we handle personal data is set out in our Privacy Policy, and where you feed us other people's personal data, our Data Processing Addendum (DPA) applies.
1. Who we are
DigitAIse is operated by AIME TECH UK LIMITED ("DigitAIse", "we", "us"), a company registered in England & Wales. Contact: [email protected]. By creating an account or using the service you ("Customer", "you") agree to these terms on behalf of your business.
2. Definitions
- Service — the DigitAIse platform and its AI agents (e.g. Nova, Hermes, Tempo, Scout, Vigil, Mentor, Signal, Prism, Echo, Aria).
- Users — the people you invite to your account. You are responsible for their use.
- Customer Data — everything you upload, connect or generate in the Service, including documents, emails, calendar events, reviews and chat/voice content.
- End-Customer Data — personal data of third parties (e.g. your own customers, suppliers, contacts) contained within Customer Data. For this data you are the controller and we are your processor — see the DPA.
3. The Service
DigitAIse runs AI agents on your behalf against data sources you authorise. Agents draft and propose actions (emails, replies, bookings, posts); wherever an agent would take an outward-facing action, it is placed in an approval queue for a human to review before it leaves the system. You remain the owner of all Customer Data.
4. Accounts & eligibility
- You must be 18+ and use the Service for business purposes.
- You are responsible for keeping login credentials secure and for all activity under your account and your Users.
- Connecting outbound credentials (email, social, payments) requires two-factor authentication.
5. Free trial, fees & payment
- Paid plans include a 30-day free trial. Card details are collected at sign-up via our payment processor Stripe; unless you cancel before the trial ends, the plan converts to paid.
- Plans are billed monthly in advance. Premium agents (Aria voice, Echo web-chat) are charged separately. Voice calls carry metered per-minute telephony usage on top of the Aria fee.
- We may change prices with reasonable notice; changes take effect at your next renewal. Fees are exclusive of VAT where applicable.
- We do not store your card number — payment card data is handled by Stripe.
6. AI outputs — your responsibility
- Agents assist you; they do not replace your judgment. AI outputs may be inaccurate or incomplete. You are responsible for reviewing and approving any output before it is sent, published, paid or relied upon.
- AI-generated content is disclosed/marked in line with transparency requirements (incl. EU AI Act Art. 50).
- The Service is not legal, financial, tax, medical or other professional advice.
7. Acceptable use
- Do not use the Service to break the law, send spam, harass anyone, or infringe others' rights.
- You warrant that you have a lawful basis to upload and process any third-party personal data you provide (see the DPA).
- Do not attempt to reverse engineer, resell or overload the Service. If an agent you configure behaves abusively we may pause it and contact you.
8. Data protection
Our handling of personal data is described in the Privacy Policy. Where the Service processes End-Customer Data on your behalf, the DPA is incorporated into these terms by reference and applies.
9. Third-party services
The Service relies on sub-processors to function — including Anthropic (AI models), Stripe (payments), Brevo (email), Twilio (voice), Meta (WhatsApp) and Cloudflare (edge/CDN). The current list and their roles are in the Privacy Policy and DPA.
10. Intellectual property
We own the Service and all associated IP. You own your Customer Data. You grant us the limited licence needed to host and process it to provide the Service. If you send us feedback, we may use it to improve the Service.
11. Availability
We aim for high availability but offer no formal SLA during early access. Maintenance will be announced in-app where possible.
12. Warranties & liability
The Service is provided "as is" during early access. To the extent permitted by law, our total liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months preceding the claim. Nothing limits liability that cannot lawfully be limited.
13. Suspension & termination
Either party may terminate at any time. We may suspend or terminate for material breach. On termination we will, on your instruction, export or delete your data within 30 days (deletion permanently removes your tenant's data — see the Privacy Policy).
14. Changes
We may update these terms; we will post the new version here and, for material changes, notify you in-app or by email. Continued use after changes take effect constitutes acceptance.
15. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
